General Terms
You (hereinafter "User"), and your use of this site, and of the www.wealthangel.com services, and Wings of Wealth newsletter (collectively, hereinafter the "Services") is subject to the following terms and conditions ("Terms of Service") as well as to any other applicable rules or policies adopted by DFHawk® Enterprises, Inc.("Wealthangel™"). User's access to the Services may be terminated without refund if User is found to be in violation of these Terms of Service. Pages or advertising mail found to be in violation of these Terms of Service will be subject to deletion and removal from our servers and newsletters. User's continued use of the Services shall signify User's complete agreement with these Terms of Service.

Ownership of Content
User acknowledges that the Services may contain information, communications, software, photos, text, icons, video, graphics, music, sounds, images and other material and services (collectively "Content") that is provided by Wealthangel and its respective licensors. User acknowledges that all content is protected by copyrights, trademarks, service marks, patents or other intellectual property or other proprietary rights (collectively "Intellectual Property Rights"). In addition, the compilation (meaning the collection, arrangement and assembly) of all Content is the exclusive property of Wealthangel and is protected by the Intellectual Property Rights.

It is further understood and agreed that the Services may include links to other websites which utilize their own respective copyrighted materials. From time to time such other copyrighted materials may be displayed by the Services. DFHawk Enterprises, Inc.® specifically acknowledges that each of these remain the property of their respective owners and not DFHawk® Enterprises, Inc.

Use of Content
User acknowledges that User may employ Content only as expressly authorized by Wealthangel. User may not participate in the transfer or sale of Content or reproduce, modify, distribute, display, incorporate into another web site or generate derivative works from the Content without the explicit written permission of the Content's owner.

Restrictions (User Conduct)
User agrees not to use the Services for any unlawful purpose. User acknowledges that applicable local, state, national and international laws and regulations govern his or her use of the Services.

User agrees not to use the Services to facilitate the electronic distribution of chain letters, advertisements, or any commercial solicitations to any person who has not previously given User specific permission to include the person in such a process. The use of the Services to distribute e-mail advertisements or solicitations which are addressed to a recipient with whom the sender does not have an existing business or personal relationship and is not sent at the request of or with the express consent of the recipient is strictly prohibited.

User accepts sole responsibility for the contents and characteristics of the messages and data he or she sends through Wealthangel. Further, should User's conduct violate these Terms of Service or Privacy Policy included herein by this reference, thereby causing any interruption of the Services, User shall waive without limitation any and all defenses, and shall be held liable to the Services for all damages, including but not limited to, actual monetary, compensatory and punitive damages as shall be awarded by any court.
User shall not send through or post on the Services any of the following:

• Pages or advertising mail that contain links to nudity, pornography, sex, or foul language;
• Pages or advertising mail that promote or condone illegal activity;
• Pages or advertising mail that promote or condone the use or abuse of drugs, including alcoholic beverages and tobacco;
• Pages or advertising mail that promote or condone "psychic" activity including, but not limited to, fortune telling, numerology and palm or card reading;
• Pages or advertising mail that is extremely offensive to others, including racism, bigotry or hatred;
• Pages or advertising mail that threatens, defames, or abuses others;
• Messages or mail containing false email addresses or other methods intended to mislead recipients as to the source of the message or mail; and
• Any threatening, abusive, offensive, or defamatory material, or messages that infringe upon the rights of third parties.

User shall not use the Services for the following purposes:

• Use of free space as storage for log files or non-html content;
• Copyright, trademark, patent, trade secret or other intellectual property infringement;
• To transmit CGI Scripts and other external scripts or programs not allowed in Wealthangel advertising. If User has a file that User would like to make available for direct download, User must seek and obtain written permission of Wealthangel prior to placement of such files;
• To promote, condone or support the pirating of computer programs, or containing links to such programs or sites. (This includes displaying information used to circumvent copy-protection, displaying or linking to product serial or registration numbers, or other types of pirating utilities.); and
• The uploading or transmission of any materials through or to the Services that contain viruses, Trojan horses, worms, time bombs, cancel bots or any other harmful programs.

Prohibition of Adult Content
Pornography and sex-related merchandising are prohibited in all Services. This includes sites and mail that may infer sexual content, link to adult content elsewhere, or promote any illegal activity or content that may be damaging to our servers or any other server on the Internet. Links to such materials are also prohibited.

If User is found to have included pornographic, sex-related, illegal, or otherwise objectionable material--or a link to such material--in User's Wealthangel advertisement, User will be deemed in breach of these Terms of Service.Wealthangel reserves the right to remove said advertisement without notice or refund, and may permanently block User from posting any ads of any nature.

Gambling
Wealthangel will not host, post or promote any advertisement or website which advocates, encourages, endorses, or makes possible any form of gambling whatsoever, excepting specifically any legitimate and legally operated lottery or sweepstakes. Should Wealthangel discover that User's use of this site promotes prohibited gambling in any form; User will be deemed in breach of these Terms of Service. Any such advertisement MUST obtain prior permission in writing from Wealthangel prior to such posting. In the event that such advertising is posted without advance written permission, Wealthangel reserves the right to remove said advertisement without notice or refund, and may permanently block User from posting any ads of any nature.

FTC Regulations
The Services must be in compliance with the rules of the United States Federal Trade Commission. In particular, they must adhere to the FTC guidelines regarding "pyramid schemes."

Accordingly, it is illegal to offer a program through the Services that promises profits merely by recruiting new participants rather than for retail sales to the general public. It does not matter if a scheme purports to sell products if a major emphasis is on payments received by recruiting new participants.

Further, pyramid schemes, even if touted as a multi-level marketing program, often contain deceptive or misleading earnings claims which violate the law.

An *earnings claim* or testimonial is deceptive or misleading if it is false or there is no reasonable basis for making such a claim. For example, it generally is illegal for a web site to state or imply that an earnings claim applies to all participants if it only represents the actual earnings of a select few. "Get-Rich-Quick" products will not be advertised or displayed through the Services.

Privacy
Wealthangel adheres to and maintains a privacy policy for all email and website pages of Wealthangel. A copy of this policy is available online at http://www.wealthangel.com/privacypolicy.htm.

The privacy policy is incorporated within and made a part of these Terms of Service by this reference. In the event that there is any discrepancy between this online version and the autoresponder version of either the Terms of Service or the Privacy Policy, this online version shall supercede.

Indemnification
User agrees to indemnify and hold Wealthangel harmless from the claims or demands of third parties that arise out of User’s use of the Services, the violation of these Terms and Conditions by User, or the infringement by User (or any other user of the Services using User's equipment) of any Intellectual Property Right of any person or entity.

Disclaimer of Warranties
The Services are provided by Wealthangel on an “as is” basis. Wealthangel disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, accuracy, fitness for a particular purpose and non-infringement.

Wealthangel does not warrant that this site will provide continuous, prompt, secure or error-free service, that defects in the Service will be corrected, or that the Services and the equipment that makes the Services available will be free of viruses, Trojan horses, worms, time bombs, cancel bots or any other harmful programs. Nor does Wealthangel make any warranty as to the reliability or accuracy of information, Content, materials or products available on this site. User uses the Services at his or her own risk.

Limitation of Liability
Wealthangel shall not be liable for any direct, indirect, incidental, special or consequential damages arising from the use of or inability to access the Services, even if Wealthangel has been advised of the possibility of such damages. In no event shall the total liability of Wealthangel exceed the greater of the amount paid by User and received by DFHawk® Enterprises, Inc, if any, for accessing the Services, or $500.

The Services may include links or references to third party web sites. These links or references are provided merely as a convenience to User and any access of such third party web sites by User is at User's own risk. User acknowledges and agrees that Wealthangel has no responsibility for the content of any third party web sites, makes any representation or gives any warranty with respect to any information contained on such web sites, or shall be liable for any damages or injury arising out of User's use of such web sites.

The User acknowledges that the names DFHawk®, Wealthangel™, Wings of Wealth™, [W/W]™, it's logos and banners are Registered Trademarks or Service Marks (trademarks) (™) belonging to DFHawk® Enterprises, Inc. a Commonwealth of Pennsylvania corporation. These trademarks are duly registered with the Commonwealth of Pennsylvania and the Government of the United States, and User shall have no rights to use of any of these trademarks without specific written advance permission from DFHawk® Enterprises, Inc. All rights of use are reserved to DFHawk® Enterprises, Inc. Worldwide.

It is further understood and agreed that the Wealthangel.com website may include links to other websites which utilize their own respective trademarks or service marks. From time to time such other trademarks or service marks may be displayed at the Wealthangel.com website. DFHawk® Enterprises, Inc. specifically acknowledges that each of these remain the property of their respective owners and not DFHawk® Enterprises, Inc.

Laws and Venue
The above Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, excluding its conflicts of law provisions.

User agrees to submit to the exclusive jurisdiction of the courts of the Commonwealth of Pennsylvania, Allegheny County, in any case, controversy, action or proceeding related to the use of the Services.
